Supplier anti-corruption commitment
In the execution of the obligations established between the companies of the GLOBAL EXCHANGE Group and any supplier of goods and/or services (hereinafter THE SUPPLIER), both parties, their directors, representatives, employees and any other contracted or subcontracted third parties, must comply with the principles of contractual good faith and with the legislation and regulations of any jurisdiction applicable to them, so that at no time will they participate in or collaborate with the commission of any conduct punishable under the applicable legislation, both nationally and internationally.
In compliance with the above, both Global Exchange and THE SUPPLIER must respect fair and honest competition in the business sphere, as well as the transparency, probity and impartiality of public bodies.
In particular, THE SUPPLIER must guarantee that it will not receive or offer, either directly or indirectly, any undue benefit or advantage, or gift or remuneration of any kind to a public authority or official or to a third party in the private sphere that is related to the execution of the contractual relationship with GLOBAL EXCHANGE, and in the event that any of the Parties receives any request for improper delivery, it will immediately inform the other Party.
Finally, the GLOBAL EXCHANGE GROUP has a Tax Policy whose compliance requires the highest standards of compliance with tax regulations and transparency with tax authorities. THE SUPPLIER will collaborate as much as possible in compliance with this policy, avoiding behaviors that may lead to any type of tax infringement.
To facilitate compliance with the above obligations, the Global Exchange Group makes available to THE SUPPLIER an Ethical Channel through which they can make any complaint in this regard.
In addition, THE SUPPLIER must have adequate measures of control, prevention and detection of any type of conduct related to corruption in its internal organization, committed with the means or under the coverage of the company itself and/or through any individual who is a member or dependent of it.
The performance of any conduct that could be classified as improper or illegal and give rise to a declaration of criminal liability may constitute, in addition to a crime, a contractual breach and, therefore, constitute grounds for termination of the relationship between GLOBAL EXCHANGE and THE SUPPLIER, giving rise to compensation that may be appropriate for damages.
